Responsibilities: * Draft and review contracts. * Draft and revise corporate founding documents and applications for state and federal exemption. * Ensure ongoing corporate compliance at the federal and state levels. * Drafting of policies, procedures, and legal documents for nonprofit organizations. * Provide governance advice and counsel. Expectations for Attorneys at FPLG: * Conduct Preliminary Legal Strategy Sessions to assess clients’ needs and craft effective legal strategies. * Collaborate with the Legal Team to ensure alignment with client goals, fostering a positive client experience that builds lasting loyalty. * Advise clients at key points, providing clear options to support fully informed decision-making. * Maintain thorough, accessible notes and correspondence, keeping the team and clients up-to-date on recent actions and upcoming steps. * Contribute to a collaborative, growth-oriented team culture by participating in training, team-building, and professional development. * Consistently meet monthly billing requirements, ensuring efficient, productive time management and client service. * Achieve quarterly Key Performance Indicators (KPIs) that support both personal and firm-wide success. * Analyze the legal risk and legal rights of various company structures, and make recommendations for corporation, joint venture, limited partnership, and limited liability company options. * Give legal advice to clients on corporate governance, policies, procedures, finances, intellectual property, employment, operations, and regulatory issues, and guide them towards best practices in corporate law regulation compliance * Provide legal counsel during legal proceedings, administrative board reviews, and litigations when necessary. * Modify, draft, and review contracts, process and procedure policies, government and financial reports, and other legal documents as required. Qualifications: * J.D. from an accredited law school and licensed to practice law in the state of California. * 3-6 years of legal experience, with exposure to non-profit law * Strong commitment to the mission-driven sector and a passion for social impact. You must be a barred attorney in good standing with the state of California, possess excellent communication skills and attention to detail, have a team-oriented mindset, and be proficient in technology. PWDF Seeks Managing Attorney to Convert to Legal Director. PEOPLE WITH DISABILITIES FOUNDATION (PWDF) is a small nonprofit agency located in San Francisco that focuses on equal access for individuals with mental and/or developmental disabilities. Compensation: $90,000 to $105,000 base salary for full-time (35 hours per week), DOE. Part-time (80%) will be considered; applicants who are interested in part-time should state so in cover letter. Duties: The MA will report to the Legal Director (LD) . (1) General Supervisory Attorney responsible for supervision and/or advice to staff attorneys and program manager. (2) Oversee disability rights issues, including for representation in federal court; social security/SSI disability, employment, education, health care, housing, and related subjects. (3) Oversee legal aspects of seminars, trainings, e-newsletter, training videos, and guest speaking.
