Description

As our Corporate Counsel, SEC Reporting and Corporate Governance, you will report directly to the Chief Financial Officer and play a key role in ensuring compliance with all SEC reporting requirements and corporate governance matters.  You will lead our ’33 Act and ’34 Act reporting obligations (NASDAQ: FLNT) and oversee all aspects of Board and corporate governance.  In this dynamic role, you’ll work closely with the Finance and Legal & Compliance teams on strategic transactions and a wide range of legal and regulatory issues. What You'll Do Prepare and review the Company’s SEC filings, including 10-Ks, 10-Qs, 8-Ks, proxy statements, and Section 16 filings, and ensure compliance with SEC and NASDAQ rules and regulations Lead and support strategic transactions, including capital raises and other financing activities, managing due diligence processes and coordinating cross-functional teams Manage processes related to annual and special shareholder meetings, as well as quarterly and ad hoc Board and Committee meetings, including reviewing and preparing agendas and materials, drafting of minutes, and ensuring compliance with policies and charter documents Provide legal support for general corporate matters, including public relations, investor relations, compliance, insurance, and risk management Advise on and oversee policies and procedures relating to securities law compliance and disclosure matters, including the administration of the Insider Trading Policy Collaborate with the Finance and Accounting teams regarding matters related to quarterly and annual filings, internal audit, SOX controls and credit facility Advise on executive compensation programs with a view to securities law compliance Prepare, review and negotiate contracts with various third-party vendors Provide legal support on HR and employment issues, including reviewing employment and consulting agreements as needed and assisting with the administration of the Company’s 401(k) and equity grants Collaborate with the General Counsel with respect to the overall Legal and Compliance functions for the Company Coordinate with outside counsel and other third-party advisors to ensure efficient legal support across a range of matters Provide legal support services to General Counsel in the form of basic legal research, agreement drafting and compliance Oversee subsidiary management, including state and local filings and licenses Support corporate development activities and general corporate matters Requirements Licensed to practice law in New York Top-tier law school and 3-5 years of experience at a law firm or corporate law department, specifically in corporate governance, securities, and capital markets. Familiarity with ’33 and ’34 Act filings Experience analyzing issues associated with public entities, and handling various transactional and business planning matters preferred Ability to engage with stakeholders at all levels of the organization, including the Board of Directors, executive leadership, and cross-functional teams Excellent analytical, written, and verbal communication skills Detail oriented and able to identify and diligently resolve problems Highly motivated self-starter who takes initiative Excellent organizational and time management skills and ability to prioritize and juggle multiple tasks Knowledge of advertising, promotional marketing, data privacy or technology law a plus About Us  Fluent, Inc (NASDAQ: FLNT) is a leader in customer acquisition, leveraging its direct response expertise to drive engagement and power discovery for leading brands. Salary Range: $200,000 to $220,000 - The base salary range represents the low and high end of the Fluent salary range for this position. Actual salaries will vary depending on factors including but not limited to location, experience, and performance. Fluent participates in the E-Verify Program.
