The Senior Projects Counsel will be responsible for comprehensively understanding and supporting SolAmerica’s business objectives, regulatory compliance protocols, and implementing strategies – particularly in regard to supporting projects from and after notice to proceed (NTP).   In support of the same, the Senior Projects Counsel will draft and negotiate vital agreements, prepare and review important legal documents, and work collaboratively with team members across all functions of the company. Requirements PRIMARY DUTIES & RESPONSIBILITIES • Draft and negotiate definitive agreements such as: engineering, procurement, and construction (EPC) agreements procurement agreements subcontracts for services warehousing and transportation agreement operations and maintenance agreements • Develop and maintain proficiency in Prevailing Wage and Apprenticeship (PWA) requirements; provide first line of legal support to Project Execution and Asset Management Teams on PWA compliance, in coordination with PWA consultant and outside counsel as needed. This includes: navigating questions from the Project Execution team regarding PWA documentation and compliance, involving outside counsel as necessary managing the contracting of PWA consultants supporting the Project Execution team as necessary in drafting contract notices to contractors regarding PWA compliance • Develop and maintain proficiency in regulations governing Prohibited Foreign Entities/Foreign Entities of Concern (“PFE”); provide first line of legal support to Project Execution and Asset Management Teams on compliance with PFE regulations, in coordination with outside counsel as necessary. This includes: preparing/reviewing PFE contract provisions with suppliers, using precedent approved by tax counsel reviewing contracts for provisions that could be deemed to give counterparties effective control over the project • Develop and maintain comprehensive understanding of SolAmerica’s safe harbor strategies and provide cross-functional support as needed in administering and documenting the same • Ensure applicable PPA, lease, and/or programmatic requirements are flowed down to EPC contracts and related project agreements. • Support Financing Team with consents, estoppels, notices, and other project-related instruments necessary to close and administer financings • Support Project Execution Team with contract enforcement and administration, including drafting high-dollar change orders, key notices, supervising lien waiver processes, and analyzing contracts with respect to rights, obligations, and steps necessary to protect contractual rights • Support EPC team with dispute management and resolution (e.g., organizing and analyzing facts, crafting arguments, identifying and recommending compromises to senior management) and coordinating with outside counsel regarding same. • Provide legal supervision on lien and performance/payment issues (e.g., reviewing payment and performance bonds, securing bonds or lien discharges, etc.), involving outside counsel as necessary • Provide legal supervision over permitting and site-specific matters if and as they arise (e.g., stormwater management, site safety), involving outside counsel as necessary • Develop and maintain mastery of Company Authority Matrix and Underwriting Standards with respect to Project Execution and Operations KEY SKILLS & COMPETENCIES Detail oriented and organized Self-motivated and self-directed Ability to manage multiple projects under parallel and competing deadlines High level of accuracy, attention to detail, and excellent proofreading skills High level of organizational skills and time management skills Excellent written and oral communication skills required to communicate effectively with direct team members, across multiple departments, and with external counterparties Strong analytical skills with ability to read, comprehend, and summarize legal documents and contracts Strong interpersonal skills with the ability to interact with team members at all levels of the company in a congenial, collaborative manner A resourceful problem solver with the ability to operate autonomously and efficiently, as well as the ability to figure out solutions proactively and independently Ability to pivot between responsibilities to meet tight deadlines and shifting demands and priorities An entrepreneurial attitude and work ethic with a willingness to “roll up your sleeves” and get the job done in a fast-paced environment/rapidly growing business Willingness to be flexible regarding the work schedule to support closings and to meet deadline Benefits SolAmerica Energy offers a competitive salary, benefits package (inclusive of equity-based compensation) and performance bonus opportunities with this position.  Our total rewards strategy is designed to support our employees to thrive professionally and personally while seeking to create a culture of work/life balance as we work toward our collective goals as a business.  We offer a monthly stipend to go towards communication expenses and all our health insurance benefits are effective from Day 1. Associate General Counsel
Position Summary  The Nautilus Solar Energy Associate General Counsel, Real Estate will play an essential role in supporting, managing, and advising on the legal aspects of real estate and site control matters for NSE’s solar projects throughout all stages of development, financing, and operations. This position will be a key member of the legal team.  The position reports to the Chief Legal Administrative Officer (and may report to interim managers). This is a remote position, with travel expected 2 – 3 times per year.     Responsibilities:  Manage completion of real estate requirements to meet project milestones within company’s goals.  Manage due diligence of project sites: review of traditional real estate documents (title searches, surveys, site control agreements), and real estate-related documents (environmental assessments, land use and zoning materials; oversee title review and curative work.   Coordinate with third-parties: other NSE departments, external legal counsel, project developers, landowners, project lenders and investors, title companies and surveyors.  Prepare and review legal documents: leases, options, purchase agreements, easements, and amendments to secure site control for the development, construction and financing of NSE’s solar projects.  Identify and evaluate risks: Assess real estate and site control risks, evaluate magnitude, and propose options for resolution; communicate these risks clearly to non-attorneys.   Coordinate deliverables for project acquisitions and financings:  title curative matters, lenders’ title policies, title endorsements, and estoppels for debt and tax equity financings.  Miscellaneous real estate tasks for the projects as assigned.   Requirements Requirements:  JD from accredited law school.  Current license to practice law in one or more US jurisdictions.  3+ years of legal experience in real estate development, with experience in the renewables and energy industries; solar DG or community solar experience is a plus.  Solar project development and finance experience preferred.   Excellent written and verbal communication skills, with the ability to present complex information in a clear and concise manner.  Ability to work both independently and collaboratively in a fast-paced, deadline-driven environment.  Ability to manage multiple projects, and focus on details.    Comfortable working in a remote environment.  Unrestricted authorization to work in the U.S.  Benefits Competitive Salary $160,000-$200,000.
