Attorney wanted to negotiate the successful sale of my business (Portland)
598 NW Couch St, Portland, OR 97209, USA
I am a small business owner in the Portland metro area. I have recently become partially disabled and no longer able to keep up with my daily duties; personal and professional. Through a 3rd party, I have been approached by three separate legitimate parties seriously interested in buying/acquiring my business. However they have sent me multiple forms to sign and I believe that I should have competent council in order to proceed. The two options on the table are to sell the business; or shut down the business properly; with the preference being to successfully sell the business and retire. Due to my disability which has taken hold slowly over the last 10-15 years, the business was once very successful, but now is barely paying for itself anymore. My family can no longer feed it. However the business has intrinsic (i.e., trademark attributes) that the potential buyer(s) are likely pursuing; also the domain name and the contacts in my Rolodex; not to mention the company has been in existence in Oregon for the last 10+ years and has a positive reputation. I want to negotiate the best offer, however I would like to aim to structure compensation for the attorney (you) primarily in a pro-bono type arrangement. In other words, you collect a percentage of the eventual sale price of the business after the sale is complete; I want you to have skin in the game and have a vested interest in a successful sale of the business. I do not have a suitcase full of cash to pay up front for a huge retainer. The terms are negotiable. Please only respond if you are in good standing with the Oregon State Bar and have good references that I can verify.
